Spec Reader Terms of Service and License Agreement

Effective Date: October 18, 2026
Last Updated: October 18, 2026
Version: 1.0

These Spec Reader Terms of Service and License Agreement (these “Terms“) are a binding contract between Roof dot Education, LLC, a Virginia limited liability company (“roof.education,” “we,” “us,” or “our“), and the person or entity that accepts these Terms or uses Spec Reader (“Customer,” “you,” or “your“). If you accept on behalf of a company or other organization, you represent that you have authority to bind it, and “Customer” means that organization.

PLEASE READ THESE TERMS CAREFULLY. SPEC READER REPORTS ARE INFORMATIONAL ONLY AND ARE NOT A SUBSTITUTE FOR THE CONTRACT DOCUMENTS (SECTION 4). THESE TERMS CONTAIN DISCLAIMERS OF WARRANTIES (SECTION 10), A LIMITATION OF LIABILITY (SECTION 11), YOUR INDEMNITY OBLIGATIONS (SECTION 12), AND A BINDING ARBITRATION AGREEMENT WITH A CLASS ACTION WAIVER AND JURY TRIAL WAIVER (SECTION 16). By clicking “I agree,” creating an account, or accessing or using Spec Reader, you agree to these Terms (see Section 18.8). If you do not agree, do not use Spec Reader.

1. Definitions

1.1 “Spec Reader” means our software service that reads project specifications and addenda that you upload and generates Reports, including its websites, applications, AI-assisted functions, templates, and documentation, as we make it available from time to time.

1.2 “D³” means our D³ commercial roofing software application and its Modules (currently Estimator, Project Manager, and, when available, CAD Drafter). “D³ Agreement” means the D³ Customer Agreement at https://www.roof.education/terms/ (or other agreement) that governs your use of D³, if any.

1.3 “Spec Documents” means project manuals, specifications, specification sections, addenda, and any other files or information that you or your Users upload to or enter into Spec Reader, including document details you enter (such as addendum number and date). Spec Reader accepts Word, PDF, TXT, CSV, XML, and JSON files.

1.4 “Report” means any report, summary, extracted value, citation, change log, “NEEDS INPUT” list, Quote Request sheet (exported in Excel and PDF formats), export, or other result that Spec Reader generates or displays, whether or not you edit it, and whether produced by our software, by an AI model, or by both. A Report is “Output” as that term is used in the D³ Agreement.

1.5 “Contract Documents” means the actual, complete, and current bid and contract documents for a project, including all specifications, drawings, addenda, bulletins, change orders, general and supplementary conditions, and other documents incorporated into the contract.

1.6 “AI Features” means features of Spec Reader that use machine learning or large language models, including models provided by third parties such as xAI (Grok).

1.7 “Users” means your employees, contractors, and other individuals you authorize to use Spec Reader under your account.

1.8 “Order” means any online sign-up, plan selection, add-on activation, order form, or invoice that identifies the Spec Reader plan, fees, and term.

1.9 “Free Plan” means any free, trial, beta, preview, or other no-charge access to Spec Reader.

1.10 “Spec” means one project specification (a project manual or set of specification sections for a single project) together with its addenda, which you upload and Spec Reader processes into a Report. Addenda to a specification are part of the same Spec.

2. Relationship to D³

2.1 Spec Reader Is a D³ Module. Spec Reader is a Module of D³ that we market separately as the entry-level D³ product. It runs inside the D³ App at d3.roof.education, uses the D³ sign-in, and has its own permission set. These Terms supplement the D³ Agreement, which is incorporated by reference. If the two conflict on a matter specific to Spec Reader (Sections 3–6, 9, and 13), these Terms control; on every other matter, the D³ Agreement controls.

2.2 Plans and Other Modules. A Spec Reader plan under Section 9.1 does not include any other Module (Estimator, Project Manager, or CAD Drafter) unless your Order says so. Full D³ plans include Spec Reader. Under current D³ licensing, one D³ license covers Estimator and Project Manager, and CAD Drafter is a separate paid add-on.

2.3 Upgrading. You may upgrade a Spec Reader account in place to a full D³ plan, or to D³ with the CAD Drafter add-on. Your login, Users, and saved data (including Spec Documents, Reports, and Quote Requests) carry over to the upgraded account. The new plan’s fees apply from the effective date of the upgrade, and upgrade charges are prorated for the remainder of the current billing month. After an upgrade, the D³ Agreement governs the D³ plan and Modules, and these Terms continue to govern your use of Spec Reader. Downgrades take effect at the start of your next billing cycle. If you downgrade or cancel, Modules you no longer pay for become unavailable at that time, but your data is retained and deleted only as described in Section 6.3, Section 13.4, and our Privacy Policy.

2.4 Single Liability Cap. The liability caps in Section 11 and in the D³ Agreement together form a single aggregate cap and do not stack.

3. License and Access

3.1 License Grant. Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right during your subscription term for your Users to access and use Spec Reader for your internal business purposes. Your plan’s User and spec limits are set out in Section 9.1 and your Order.

3.2 Business Use Only. Spec Reader is intended for roofing contractors, estimators, and other construction-industry businesses and professionals. It is not intended for personal, family, or household use.

3.3 Accounts. Spec Reader uses the D³ sign-in (Google sign-in or access code) and has its own permission set; your administrator controls which Users can access Spec Reader. You are responsible for all activity under your account, for keeping credentials confidential, and for your Users’ compliance with these Terms. Notify us promptly at admin@roof.education of any unauthorized use.

3.4 Account and Use Rules. You will not, and will not permit anyone to: (a) upload Spec Documents you do not have the right to upload or have processed as these Terms describe; (b) share credentials or exceed your plan’s User or usage limits; (c) copy, modify, reverse engineer, decompile, or attempt to extract the source code, models, prompts, or extraction logic of Spec Reader, except as permitted by law; (d) scrape or systematically extract data from Spec Reader, or use Spec Reader or Reports to build or train a competing product or AI model (see also Section 3.9); (e) resell, sublicense, or provide Spec Reader to third parties as a service bureau, except as permitted in an Order; (f) upload malware or interfere with, overload, or circumvent the security, rate limits, spending limits, or access controls of Spec Reader; (g) present a Report as a stamped, sealed, certified, engineered, or approved document, or represent that we have reviewed, approved, or warranted any Report, bid, or project; (h) use AI Features in violation of applicable AI provider usage policies; or (i) use Spec Reader in violation of law or third-party rights.

3.5 Changes; Beta. We may modify, add, or remove features, AI models, or functionality at any time, and will use reasonable efforts to give notice of material reductions in core functionality for paid plans. Free Plans and beta features may be changed or discontinued at any time.

3.6 AI Assist. AI Features are on by default in Spec Reader and may be subject to reasonable usage limits that we set. Your company Admin can turn AI Features off for Spec Reader using the Platform Admin Grok switch. When AI Features are off, Spec Reader still reads your Spec Documents with our own software, but Reports may be less complete.

3.7 Account Approval; Right to Refuse Service. We may review, verify, approve, or refuse any registration, account, Order, upgrade, or renewal, and we may refuse to provide, or stop providing, Spec Reader to any person or entity at our sole discretion for any lawful reason, including competitive concerns. For example, we may decline registrations from certain locations. We may ask for information to verify a registration or Order. If we end your paid subscription under this Section for our convenience, and not because of your breach or a misrepresentation under Section 13.6, we will refund on a pro rata basis any prepaid fees for the unused portion of your current paid term. This refund is your sole remedy for that termination.

3.8 Your Account Information and Authority. You represent and warrant that: (a) all registration and account information you or your Users provide, including your legal company name, business location and address, contact name, role or title, email address, and industry, is accurate and complete; (b) you will keep that information current and update it promptly if it changes; (c) you are registering and using Spec Reader for your own business and not on behalf of any undisclosed person or entity; and (d) the individual who accepts these Terms is authorized to bind the company or organization named in the account.

3.9 Competitive Use. Without our prior written consent, you will not, and will not permit anyone to: (a) access or use Spec Reader, any Report, or any documentation to design, build, train, or improve a product or service that competes with Spec Reader or any part of D³; (b) perform or publish benchmarking, feature, performance, or pricing comparisons for or on behalf of a competitor of ours; (c) access or use Spec Reader if you are, or are acting by or for, a direct competitor of ours, including through a third party, consultant, or affiliate; or (d) copy features, workflows, user-interface designs, report formats, or prompts of Spec Reader for any of these purposes. This Section supplements Section 3.4(c)–(d). We may suspend or terminate access immediately, without refund, for a breach of this Section.

4. Nature of Reports: Informational Only

4.1 Informational Tool Only. Spec Reader helps you review Spec Documents more efficiently. EVERY REPORT IS INFORMATIONAL ONLY. A REPORT IS NOT A SUBSTITUTE FOR THE CONTRACT DOCUMENTS, FOR READING THE CONTRACT DOCUMENTS IN FULL, OR FOR REVIEW BY A QUALIFIED PROFESSIONAL. The Contract Documents always control over any Report.

4.2 Reports Reflect Only What You Upload. A Report reflects only the Spec Documents you uploaded and only the portions that Spec Reader was able to read. Spec Reader does not have access to, and a Report does not reflect, any document you did not upload, including drawings, other specification sections, later addenda, bulletins, clarifications, RFI responses, pre-bid meeting minutes, or change orders. Scanned pages are read using optical character recognition (OCR), which may misread or miss text, tables, stamps, handwriting, or poor-quality scans. Spec Reader does not take quantities from drawings.

4.3 “NEEDS INPUT” and Other Flags. When Spec Reader does not find an item in your Spec Documents, it marks the item “NEEDS INPUT.” It may also mark items as “CONFLICT: review,” “citation unverified,” “addendum item, location unclear: review,” or similar. A “NEEDS INPUT” or similar flag means only that Spec Reader did not find or could not confirm the item. It does not mean the item is absent from, not required by, or resolved by the Contract Documents. Equally, a value that is not flagged may still be wrong, incomplete, out of date, or superseded.

4.4 Addenda. Spec Reader attempts to apply addenda in the order of the addendum numbers and dates you enter. You are responsible for uploading every addendum and entering its number and date correctly. Spec Reader may misapply, miss, or fail to tie an addendum item to the right location.

4.5 No Guarantee of Accuracy or Completeness. We do not guarantee that any Report is accurate, complete, current, or correctly cited, or that it identifies every requirement, product, manufacturer, approved equal, substitution deadline, warranty term, submittal, test, or other obligation in your Spec Documents or the Contract Documents.

4.6 You Must Verify Against the Actual Specifications. Before relying on any Report for any purpose, including preparing a bid, a Quote Request, a submittal, a purchase, or an installation, you must independently verify every item in the Report against the complete and current Contract Documents. You must also check current manufacturer literature and supplier quotes, and obtain review by qualified licensed professionals where required. Citations are provided to help you find the source text; they do not replace reading it.

4.7 No Professional Advice. We are not a licensed engineer, architect, contractor, code official, attorney, or estimator for your projects, and we do not provide professional services through Spec Reader. No Report is engineering, architectural, code-compliance, legal, contract-interpretation, insurance, or bid advice.

4.8 Quote Request Sheet. The Quote Request sheet is a draft prefilled from your Spec Documents and is exported in Excel and PDF formats. Quantities and other fields are left as “NEEDS INPUT” unless they are stated in your Spec Documents. Spec Reader does not send Quote Requests to anyone. You are solely responsible for the content of any Quote Request you send and for any resulting quote, order, or contract.

4.9 Edits and Decisions Are Yours. You may edit Report values, and edits are labeled as user entered. You are solely responsible for your edits and for every decision you make, or action you take or do not take, in connection with any project. You must not rely on a Report as the sole basis for any bid, contract, purchase, or installation decision. We owe no duty to your customers, owners, general contractors, design professionals, suppliers, or other third parties. If you give a Report to a third party, you do so on your own behalf and must not represent that we reviewed or approved it.

5. AI Features

5.1 AI Limitations. AI Features use probabilistic technology, including third-party models such as Grok from xAI. AI-GENERATED CONTENT MAY BE INACCURATE, INCOMPLETE, INCONSISTENT, OR FABRICATED (“HALLUCINATED”), EVEN WHEN IT APPEARS CONFIDENT, DETAILED, OR CORRECTLY CITED. AI Features may misread text, attribute a requirement to the wrong section or page, or produce different results from the same input. Our software checks AI citations against the excerpts sent, but these checks are not a guarantee of accuracy.

5.2 What Is Sent to the AI Provider. AI Features are on by default. When they are on, Spec Reader sends only extracted text from your Spec Documents to our AI provider, including text produced by OCR from scanned pages, labeled with section and page references. It never sends the original files. OCR runs locally on our application server. We do not use an outside OCR service, and page images do not leave our systems. Our Privacy Policy describes this processing.

5.3 Third-Party Providers. We do not control and are not responsible for the performance, availability, accuracy, or policy changes of third-party AI models or providers. We may change AI providers or models at any time.

6. Your Spec Documents

6.1 Your Right to Upload. You represent and warrant that: (a) you have all rights, licenses, consents, and permissions needed to upload Spec Documents and to have them processed as these Terms and our Privacy Policy describe, including by our hosting, storage, and AI providers; (b) uploading and processing them does not violate any confidentiality obligation, bid-document restriction, copyright or other intellectual property right, privacy right, contract, or law, including any obligation owed to a project owner, architect, engineer, or general contractor; and (c) Spec Documents do not contain Social Security numbers, financial account numbers, health information, or other sensitive personal information.

6.2 Your Responsibility for Inputs. You are solely responsible for the accuracy, completeness, legibility, and currency of Spec Documents, and for uploading all relevant documents and addenda. We do not verify Spec Documents.

6.3 Retention and Deletion. Spec Reader keeps only the work you save. Saved Spec Documents, Reports, and Quote Requests are stored on our systems and infrastructure and kept while your account is active until you delete them, subject to reasonable storage limits that we may set with notice to you. Unsaved work is not kept. After account closure, remaining saved items are deleted within 99 days, as described in our Privacy Policy. Deleted items may remain in backups for up to thirty (30) days before they are purged. You are responsible for keeping your own copies of Spec Documents and any Report you rely on.

6.4 Hosting and Security. Spec Reader, like the rest of D³, is hosted on Render, and uses Supabase for its database, sign-in authentication, and file storage. We may change hosting or storage providers, and our Privacy Policy lists our current providers. We use commercially reasonable administrative, technical, and physical safeguards designed to protect Spec Documents and Reports. No system is completely secure, and we do not guarantee that data will not be lost, corrupted, or accessed without authorization.

6.5 Privacy. Our Privacy Policy at https://www.roof.education/privacy-policy/ describes our handling of personal information and applies to Spec Reader.

7. Intellectual Property and Ownership

7.1 Spec Documents. As between you and us, you (or your licensors, such as the project owner or design professional) retain all rights in Spec Documents. We claim no ownership of them. You grant us and our service providers (including hosting, storage, and AI providers) a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, and display Spec Documents only as needed to provide, secure, and support Spec Reader for you and to comply with law.

7.2 No Training. We do not use Spec Documents or Reports to train or fine-tune our own or third-party AI models.

7.3 Aggregated Usage Data. We may collect and use aggregated, de-identified usage data about Spec Reader (such as counts of reports, pages processed, error rates, and feature usage) only to operate and improve Spec Reader and D³. That data will not identify you, your Users, any project, or any project participant, and it will never include the content of any Spec Document or Report.

7.4 Reports. As between you and us, and subject to the rights of third parties in the underlying Spec Documents and to our rights in Spec Reader, you own the Reports generated for you, and you may use, copy, modify, and share them for any lawful purpose, including preparing your own bids and sending Quote Requests. You grant us a limited, non-exclusive, royalty-free license to host, store, copy, process, transmit, and display Reports only as needed to operate, secure, and support Spec Reader for you and to comply with law. We will not use Reports to train or fine-tune any AI model. Report formats, templates, layouts, and similar structure may be the same as for other customers and remain ours.

7.5 Our Property. We and our licensors own all rights in Spec Reader and D³, including software, extraction logic, models, prompts, templates, report designs, documentation, and trademarks (including “D³,” “D3,” and “Spec Reader”), and all improvements. No rights are granted except as expressly stated.

7.6 Feedback. We may use any feedback you provide without restriction or obligation.

8. Confidentiality

8.1 Definition. “Confidential Information” means non-public information disclosed by one party to the other in connection with these Terms that is marked confidential or that a reasonable person would understand to be confidential. Your Confidential Information includes Spec Documents and Reports. Our Confidential Information includes non-public features, pricing, and the non-public parts of Spec Reader.

8.2 Obligations. The receiving party will use the disclosing party’s Confidential Information only to perform under or exercise its rights under these Terms. It will not disclose that information except to its employees, contractors, and service providers who need to know it and are bound by confidentiality obligations at least as protective as these. It will protect the information with at least reasonable care.

8.3 Exclusions. Confidential Information does not include information that is or becomes public through no fault of the receiving party, was known to it without restriction before disclosure, is received from a third party without restriction, or is independently developed without use of the disclosing party’s information. A party may disclose Confidential Information when required by law or legal process, after giving reasonable prior notice where lawful.

8.4 Your Third-Party Obligations. Nothing in this Section shifts to us any confidentiality obligation you owe to a project owner, design professional, or other third party regarding Spec Documents. You remain responsible for complying with those obligations (see Section 6.1).

9. Fees and Payment

9.1 Plans and Fees. Spec Reader is offered as a monthly subscription on two plans. There is no pay-per-report option.

  • Spec Reader Starter – $79 per month: one (1) User and up to ten (10) Specs per billing month.
  • Spec Reader Unlimited – $149 per month: one (1) User and unlimited Specs, subject to the fair-use limit in Section 9.6.

Prices are stated in your Order or on our pricing page at the time of purchase. On the $79 plan, once you have used your plan’s monthly spec allowance, you cannot process more Specs until the next billing month begins unless you upgrade. Unused Specs do not roll over to later months. Unless otherwise stated, fees are billed in advance, in U.S. dollars, and are non-cancellable and non-refundable, except as required by law or expressly stated in these Terms.

9.2 Renewal. Subscriptions are billed monthly in advance and automatically renew month to month at our then-current rates unless you cancel before the end of the current term. We will give at least 30 days’ notice of any price change.

9.3 Payment; Late Payment. You authorize us or our payment processor, Stripe, to charge your designated payment method. If payment fails, we may suspend Spec Reader after notice. Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

9.4 Taxes. Fees exclude taxes. You are responsible for all sales, use, and similar taxes, other than taxes on our net income.

9.5 AI Usage Costs. AI processing is included in your plan fee. There are no separate AI, per-report, or per-run charges.

9.6 Fair Use. The Unlimited plan is for one User’s normal business use. It is subject to a fair-use limit of forty (40) specs per billing month. If you reach that limit, Spec Reader will pause processing of new specs for the rest of the billing month and ask you to contact us at admin@roof.education. Your saved work stays available while processing is paused. We will work with you in good faith on options, which may include a custom arrangement. Sharing a single-User plan among several people, or automated or bulk submission, is not normal use. We may suspend use that violates this Section under Section 13.3.

10. Disclaimer of Warranties

10.1 SPEC READER, ALL REPORTS, AND ALL AI FEATURES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS,” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR OWNERS, AFFILIATES, LICENSORS, AND SUPPLIERS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, MERCHANTABILITY OF A COMPUTER PROGRAM, INFORMATIONAL CONTENT, FITNESS FOR A PARTICULAR PURPOSE, SYSTEM INTEGRATION, ACCURACY, COMPLETENESS, TITLE, QUIET ENJOYMENT, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

10.2 WITHOUT LIMITING SECTION 10.1, WE DO NOT WARRANT THAT: (A) ANY REPORT WILL BE ACCURATE, COMPLETE, CURRENT, OR CORRECTLY CITED; (B) ANY REPORT WILL IDENTIFY EVERY REQUIREMENT, ADDENDUM CHANGE, OR CONFLICT IN YOUR SPEC DOCUMENTS OR THE CONTRACT DOCUMENTS; (C) ANY ITEM NOT MARKED “NEEDS INPUT” IS CORRECT, OR THAT ANY ITEM MARKED “NEEDS INPUT” IS ABSENT FROM THE CONTRACT DOCUMENTS; (D) ANY REPORT IS SUITABLE FOR ANY BID, QUOTE, SUBMITTAL, PURCHASE, OR INSTALLATION; (E) YOU WILL WIN ANY BID OR EARN ANY PROFIT; OR (F) SPEC READER WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10.3 No advice or information, whether oral or written, and no marketing material (including statements such as “every page” or “cited”) creates any warranty not expressly stated in these Terms. Where the law does not allow exclusion of a warranty, that warranty is limited to the shortest period and minimum scope permitted.

11. Limitation of Liability

11.1 EXCLUSION OF DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, OR SUPPLIERS (THE “ROOF.EDUCATION PARTIES”) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, OR MARGIN; LOST BIDS, CONTRACTS, OR OPPORTUNITIES; BID ERRORS, OMISSIONS, UNDERBIDDING, OR OVERBIDDING; MISSED SPECIFICATION REQUIREMENTS, SUBSTITUTION DEADLINES, SUBMITTALS, OR ADDENDA; WRONG, EXCESS, OR SHORT MATERIALS; REWORK, REPAIR, OR REPLACEMENT COSTS; DELAY, LIQUIDATED DAMAGES, OR BACKCHARGES; VOIDED OR DENIED WARRANTIES; LOSS OF GOODWILL; OR LOSS OR CORRUPTION OF DATA, IN EACH CASE ARISING OUT OF OR RELATING TO THESE TERMS, SPEC READER, OR ANY REPORT, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 LIABILITY CAP. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL CUMULATIVE LIABILITY OF ALL ROOF.EDUCATION PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, SPEC READER, OR ANY REPORT WILL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO US FOR SPEC READER DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT FIRST GIVING RISE TO THE LIABILITY, OR, IF YOU PAID NO FEES FOR SPEC READER DURING THAT PERIOD (INCLUDING ON A FREE PLAN), ONE HUNDRED U.S. DOLLARS (US $100). This cap and the cap in the D³ Agreement together form one aggregate cap and do not stack.

11.3 Application. These limits apply in the aggregate to all claims by you, your Users, or anyone claiming through you. Nothing in these Terms limits liability that cannot be limited under applicable law, such as, where the law so provides, liability for gross negligence, willful misconduct, fraud, or personal injury caused by negligence. In those cases, liability is limited to the fullest extent permitted.

11.4 Time Limit. To the extent permitted by law, any claim must be brought within one (1) year after it arises.

11.5 Basis of the Bargain. You acknowledge that our fees reflect, and these Terms depend on, the disclaimers, limitations, and indemnities in these Terms. These provisions are a reasonable allocation of risk, especially given the low cost of Spec Reader compared with the value of the projects it may be used for, and they apply even if a limited remedy fails of its essential purpose.

12. Indemnification

12.1 To the maximum extent permitted by law, you will defend, indemnify, and hold harmless the roof.education Parties from all claims, losses, damages, liabilities, fines, settlements, costs, and expenses (including reasonable attorneys’ and expert fees) arising out of or relating to: (a) Spec Documents, including any claim that uploading or processing them infringes or misappropriates a third party’s rights, or breaches a confidentiality obligation or bid-document restriction; (b) your or your Users’ use of or [REDACTED] on any Report, including any bid, Quote Request, submittal, contract, purchase, or installation decision based on it; (c) any Report or derived document you provide to a third party; (d) your projects, work, and jobsite conditions; (e) your breach of these Terms; or (f) your violation of law or third-party rights.

12.2 Procedure. We will give you prompt notice of a claim (delay relieves you only to the extent you are materially prejudiced). You may control the defense with counsel reasonably acceptable to us, but you may not settle any claim that imposes an obligation or admission on a roof.education Party without our prior written consent. We may participate with our own counsel at our own expense.

13. Term, Suspension, and Termination

13.1 Term. These Terms begin when you first accept them or use Spec Reader and continue until all Spec Reader subscriptions or Orders have ended. These Terms also end when your D³ account or the D³ Agreement ends.

13.2 By You. You may cancel at any time through your account or by notice to admin@roof.education. Cancellation takes effect at the end of the current paid term, without refund for unused time except as required by law.

13.3 By Us. We may suspend or terminate your access immediately upon notice if you breach these Terms (including non-payment); if your use poses a security, legal, or operational risk; if required by law or by a third-party provider; or if we discontinue Spec Reader. If we discontinue Spec Reader, or end your paid subscription for our convenience under Section 3.7, we will refund prepaid fees for the unused portion of a paid term on a pro rata basis. We may end Free Plans at any time.

13.4 Effect. On termination, your right to use Spec Reader ends. For thirty (30) days after termination of a paid plan, we will make your saved Reports, Quote Requests, and Spec Documents available for export on request. After that, we will delete them as described in our Privacy Policy (within 99 days after account closure).

13.5 Survival. Sections 1, 3.8, 3.9, 4, 5, 6.1–6.3, 7, 8, 9 (amounts owed), 10, 11, 12, 13.4, 13.5, and 14–18 survive termination.

13.6 Termination for Misrepresentation. We may suspend or terminate your account and access to Spec Reader immediately upon notice, without refund, if we reasonably determine that any registration or account information is materially false, inaccurate, or misleading, or that the account is being used by or on behalf of a person or entity that was not disclosed to us.

14. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws rules, and, as to Section 16, by the Federal Arbitration Act. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through Spec Reader at least 30 days before they take effect, except where a change is required by law. Changes do not apply retroactively to disputes that arose earlier. If you continue using Spec Reader after the effective date, you accept the changes. We may also require you to accept updated Terms by clicking “I agree,” as described in Section 18.8.

16. Dispute Resolution; Binding Arbitration

16.1 Informal Resolution. Before starting arbitration or any court proceeding, a party must send the other a written notice describing the dispute and the relief requested. The parties will then try in good faith to resolve it for at least thirty (30) days. Notices to us go to the notice address and email in Section 18.5.

16.2 Binding Arbitration. Except as provided in Section 16.4, any dispute, claim, or controversy arising out of or relating to these Terms, Spec Reader, or any Report, including the formation, scope, validity, or enforceability of this Section 16, will be resolved by final and binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, including its Expedited Procedures where they apply under those Rules. Under the current AAA Rules, the Expedited Procedures apply when no claim exceeds $100,000, and claims of $25,000 or less are decided on documents unless a hearing is needed. The arbitration will be conducted by a single arbitrator, in English. The seat of arbitration is Fauquier County, Virginia, and any hearing will be held there or, if the parties agree or the arbitrator allows, by video conference. The arbitrator must apply these Terms, including Sections 10 and 11, and may award only remedies that would be available to an individual party in court, subject to those limitations. Judgment on the award may be entered in any court of competent jurisdiction.

16.2A Arbitration Costs. Each party pays its own attorneys’ fees and costs. The parties split equally the AAA filing, administrative, and arbitrator fees. The arbitrator may reallocate those fees, and may award reasonable attorneys’ fees to the other party, if the arbitrator finds that a claim or defense was brought in bad faith, was frivolous, or was brought for an improper purpose, or as applicable law requires.

16.3 Class Action Waiver; Jury Waiver. EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF DIFFERENT CUSTOMERS OR PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING. TO THE EXTENT ANY DISPUTE PROCEEDS IN COURT, EACH PARTY WAIVES ITS RIGHT TO A JURY TRIAL.

16.4 Exceptions. (a) Small claims: either party may bring an individual claim in the General District Court of Fauquier County, Virginia (including its small claims division), if the claim is within that court’s jurisdictional limits and stays there on an individual basis. (b) Injunctive relief: either party may seek temporary, preliminary, or permanent injunctive or other equitable relief in the court named in Section 16.5 to protect its intellectual property rights, its Confidential Information, or the security or integrity of Spec Reader, without first arbitrating or posting a bond to the extent permitted by law.

16.5 Venue for Court Matters. For any matter not subject to arbitration, including the exceptions in Section 16.4, or to compel arbitration or enforce, confirm, or vacate an award, the parties consent to the exclusive jurisdiction and venue of the Circuit Court or General District Court of Fauquier County, Virginia (as their jurisdictional limits allow), or the United States District Court for the Eastern District of Virginia, Alexandria Division, where federal jurisdiction exists.

16.6 Severability of this Section. If the class action waiver in Section 16.3 is found unenforceable as to a claim, that claim will proceed in court under Section 16.5 and not in arbitration. If any other part of this Section 16 is found unenforceable, the rest of it still applies.

17. Severability

If any provision is held unenforceable, it will be enforced to the maximum extent permissible and modified only as much as needed to make it enforceable, and the rest of these Terms will remain in effect.

18. General

18.1 Entire Agreement. These Terms, any Order, the Privacy Policy, and the D³ Agreement are the entire agreement regarding Spec Reader and supersede all prior agreements, proposals, and representations about it. Terms in your purchase orders are void.

18.2 Assignment. You may not assign these Terms without our prior written consent. We may assign them to an affiliate or in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets or of Spec Reader.

18.3 Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including outages or changes of hosting, AI, or other third-party providers.

18.4 Relationship; Third Parties. The parties are independent contractors. There are no third-party beneficiaries, except that the roof.education Parties are intended beneficiaries of Sections 10–12.

18.5 Notices. We may give notices to your account email or through Spec Reader. You must send legal notices to Roof dot Education, LLC by email to admin@roof.education.

18.6 Chat Assistant. Answers from the AI chat assistant on www.roof.education are informational only, are not an offer, and do not change these Terms or any Order. The roof.education Chat Assistant Disclaimer at https://www.roof.education/chat-disclaimer/ applies. If a chat answer conflicts with these Terms or your Order, these Terms and your Order control.

18.7 Other. Failure to enforce a provision is not a waiver. You will comply with U.S. export and sanctions laws. Headings are for convenience only, and “including” means “including without limitation.”

18.8 Clickwrap Acceptance; Acceptance Records. You accept these Terms by clicking “I agree” (or a similar button) at sign-up or when placing an Order, and you agree that this electronic acceptance has the same effect as a handwritten signature. We keep a record of each acceptance, including the version of these Terms accepted, the date and time, and the account and User who accepted. If we update these Terms, we may require you to accept the updated version before you continue using Spec Reader. Our acceptance records are evidence of the version you accepted and when.
